This privacy policy (“Privacy Policy”) has been drafted in accordance with the Information Technology Act, 2000 and the Information Technology (Reasonable security practices and procedures and sensitive personal data or information) Rules, 2011 and governs the use of information by Matel Motion and Energy Solutions Private Limited, having registered office at Flno 102 Rahul Towers Wing 3 Plno B, Sno 95 Busari Colony / Kothrud, Pune, Maharashtra, India, 411038 (hereinafter referred to as “”).
The Company operates through its website http://matel.co.in (“Platform”) and is engaged in the business of Manufacture of Energy Efficient Motors for Industrial, Agriculture irrigation and Powertrains for Electric Vehicles.
For its business operations and other ancillary purposes, the Company onboards and engages with several suppliers who have agreed to sell their products to the Company for the purpose of its use by the end-customers of the Company (hereinafter referred to as the “Supplier” ). This Privacy Policy governs the Company’s policy and procedures for collection, use, storage, processing, disclosure and protection of any information, including, but not limited to, business or personal information provided by Supplier during the period of Supplier’s engagement with the Company vide the Company Platform.
This Privacy Policy constitutes a legal agreement between Supplier and the Company, as the owner of the Platform. Supplier must be a natural person who is at least 18 years of age. If Supplier are less than 18 years of age, please read through this Privacy Policy with Supplier’s parent or legal guardian, and in such a case this Privacy Policy shall be deemed to be a contract between the Company and Supplier’s legal guardian or parent and to the extent permissible under applicable laws, enforceable against Supplier.
1. Supplier’s Consent
Supplier’s engagement with Company as a supplier/seller for the purchase and selling of Supplier’s products and Supplier’s usage of our Platform is subject to Supplier’s acceptance of this Privacy Policy. Supplier grant Supplier’s consent to be bound by the terms of this Privacy Policy by:

Accessing the Company Platform;

Onboarding with Company for the sale and purchase of Supplier’s Products;

Submitting any information upon request made by the Company.
As a part of Supplier’s engagement with the Company, We may need to send routine communications to Supplier. We may send such communications through any means available, including email, text, WhatsApp, other forms of messaging or calls. Though We prefer to communicate with Supplier via email and SMS, as may be deemed necessary, Supplier agrees to receive our phone calls or any other mode of communication as may be deemed appropriate.
This Privacy Policy does not apply to third-party websites/ applications that are connected via links to the Platform. If Supplier do not agree with the terms and conditions of this Privacy Policy, please do not proceed further to use/ access Platform. Supplier shall have the option to revoke Supplier’s consent towards certain actions on Platform. However, Supplier agrees the limitations of services that such revocation may entails as the same may result in Company not proceeding any further with Supplier’s engagement with the Company as it may directly hinder with the necessary operations of the Company.

Supplier acknowledge that the information collected by Company during Supplier’s engagement with the Company, may be information categorised as ‘sensitive personal data or information’ under the terms of the Information Technology (Reasonable Security Practices and Procedures and Sensitive Personal Data or Information) Rules, 2011 (“Privacy Rules”). Any such information shall be used, stored and processed by Company in accordance with the Privacy Rules.
We may share Supplier’s information with third parties for the purpose of Supplier’s engagement with the Company with Supplier’s explicit consent. Supplier’s information may be shared with such third parties for the onboarding process which includes without limitation, the KYC process and other ancillary onboarding requirements. In any such event, Supplier’s information will be subject to such third-party’s privacy policy and terms of use.
Non-Personal Information
We may collect non-personal information (“Non-Personal Information”) from Supplier through the Platform when Supplier visit and/ or use the Platform. Non-Personal Information is any information that does not reveal Supplier’s specific identity, such as, location, browser information, internet protocol address, information collected through Cookies (defined below), details of Supplier’s internet service provider, the date, time and duration of Supplier’s usage of the Platform, pixel tags and other technologies, demographic information, etc. Our Platform gathers some information automatically when Supplier visit the Platform. We may collect certain information about Supplier’s mobile device through which Supplier have accessed the Platform to facilitate, evaluate and verify Supplier’s use of the Platform.
“Cookies” are small files that reside on Supplier’s computer or other mobile device’s hard drive and generally contain unique identifier and are accessible only by the website/ application that placed them there and not any other sites. By using the Platform, Supplier consent to the use of Cookies on the Platform. The use of Cookies by Our partners, affiliates, advertisers or service providers is not covered by the Policy.
The Platform uses temporary Cookies to store certain data that is used by Company for maintenance of the Platform, and its features as well as research and development. We do not store personally identifiable information in the Cookies.
3. Use of Supplier’s Information
We, or the third parties authorised by Company may use the information provided by Supplier for the following purposes:

Order placements through the Platform;

Supplier’s acceptance of the orders through the Platform;

Communications with Supplier in relation to the products which includes without limitation, product specifications, quality and quantity, dispatch and delivery schedule, addresses in relation to shipping, initiating returns and refunds;

Supplier ID creation post the KYC approval on these documents;

For marketing and advertising communications;

To carry out Our obligations and to process transactions arising from any contracts entered into between Supplier and Us;

To notify Supplier regarding the changes on the Platform;

Notify Supplier, if possible, in the event We become aware of any breach of the security of Supplier’s information and take appropriate action to the best of Our ability to remedy such a breach

To enable Company to comply with legal and regulatory obligations.

We will use and retain Supplier’s information for such periods as necessary to comply with Our legal obligations, resolve disputes, and enforce Our agreements.
4. Storage of Information
We employ diligent safeguards to protect and uphold the integrity and security of Supplier’s information, mitigating the risk of unauthorized access, loss, theft, unauthorized reproduction, use, amendment, disclosure, or destruction. Our services implement secure server software that adheres to industry standards for conducting secure transactions. In accordance with relevant laws, we adhere to rigorous security practices, procedures, and utilize secure servers to ensure the protection of Supplier’s information. Furthermore, we routinely conduct thorough reviews of our information collection, storage, and processing practices to prevent any unauthorized access to our systems.
As Supplier acquire a Supplier ID, Supplier are responsible for keeping Supplier’s password confidential. By submitting Supplier’s information on Our Platform, Supplier agrees to the handling of Supplier’s information by the Company in a manner as stated under this Privacy Policy.
By utilizing the Platform, Supplier acknowledge and accept the inherent security implications associated with data transmission over the internet and the World Wide Web, recognizing that complete security cannot always be guaranteed. Consequently, Supplier’s use of the Platform is undertaken at Supplier’s own risk.
Notwithstanding anything contained in this Privacy Policy or elsewhere, the Company shall not be held responsible for any loss, damage or misuse of Supplier’s Information, if such loss, damage or misuse is attributable to a Force Majeure Event (as defined below). A “Force Majeure Event” shall mean any event that is beyond Our reasonable control and shall include, without limitation, sabotage, fire, flood, explosion, acts of God, civil commotion, strikes or industrial action of any kind, riots, insurrection, war, acts of government, computer hacking, unauthorised access to computer, computer system or computer network, computer crashes, breach of security and encryption (provided beyond Our reasonable control), power or electricity failure or unavailability of adequate power or electricity.
Supplier agrees and acknowledge that We shall retain all information provided by Supplier until such time as is required by the applicable law or until it is required for Our internal use, whichever is later.
5. Disclosure of Information
We do not rent or sell Supplier’s Personal Information. We do not share Supplier’s Personal Information with third parties or non-affiliated companies except in accordance with this Privacy Policy and our Terms of Use. We limit the disclosure of Personal Information to such necessary persons who have a “need-to-know” such information, and only if the disclosure will enable that entity to provide Company with business, professional, or technical support to carry out our operations in relation to engagement with Supplier. However, We are not responsible for any breach of security or for any actions of any third parties that receive Supplier’s Personal Information.
Company may disclose any information provided by Supplier on the Platform as may be deemed to be necessary or appropriate: (a) under applicable law, including laws outside Supplier’s country of residence; (b) to comply with legal process; (c) to respond to requests from public and government authorities including public and government authorities outside Supplier’s country of residence; (d) to enforce Our Terms of Use; (e) to protect Our operations or those of any of Our affiliates; (f) to protect Our rights, privacy, safety or property, and/or that of Our affiliates, Supplier or others; and (g) to allow Company to pursue available remedies or limit the damages that We may sustain.
We assume no liability for any disclosure of information due to errors in transmission, unauthorised third party access or other acts of third parties, or acts or omissions beyond Our reasonable control and Supplier agrees that Supplier will not hold Company responsible for any breach of security unless such breach has been caused as a direct result of Our gross negligence or wilful default.
6. Review and Updates
We regularly review and update our Privacy Policy, and we request Supplier to regularly review this Privacy Policy. It is also important that the information we hold about Supplier is accurate and current. Please keep Company informed if Supplier’s information undergoes any change during Supplier’s relationship with us. We are not responsible for any inaccurate information Supplier provide to us, which may affect Supplier’s experience during the period of Supplier’s engagement with Us.
We may update or amend this Privacy Policy at any time, with or without advance notice. In the event there are significant changes in the way the Company treats the Supplier's information, the Company will display a notice on the Website.

Governing Law And Dispute Resolution
This Privacy Policy shall be governed by and construed in accordance with the laws of the Republic of India.
The courts at Pune shall have exclusive jurisdiction in relation to any disputes arising out of or in connection with this Policy.
8. No Waiver And Severability
The rights and remedies available under this Privacy Policy may be exercised as often as necessary and are cumulative and not exclusive of rights or remedies provided by law. It may be waived only in writing. Delay in exercising or non-exercise of any such right or remedy does not constitute a waiver of that right or remedy, or any other right or remedy.
We have taken every effort to ensure that this Privacy Policy adheres with the applicable laws. The invalidity or unenforceability of any part of this Privacy Policy shall not prejudice or affect the validity or enforceability of the remainder of this Privacy Policy. This Policy shall be inapplicable to any unsolicited information Supplier provide Company through the Platform or through any other means. All unsolicited information shall be deemed to be non-confidential and the Company shall be free to use and/ or disclose such unsolicited information without any limitations.
